WORLD WIDE WEB HOSTING
(Non-virtual Host Sites)
USER AGREEMENT
THIS AGREEMENT FOR WORLD WIDE WEB HOSTING SERVICES (the "Agreement") is made
and effective as of the date of acceptance, by and between you, ("Customer")
and Internet Manager, Inc. (IMI).
WHEREAS, Customer desires to utilize Internet Manager, Inc.'s Web Hosting
services to develop Customer's presence on the World Wide Web.
NOW, THEREFORE, in consideration of the mutual promises set forth herein, the
parties hereto agree as follows:
1. Internet Manager, Inc. Services
Internet Manager, Inc. agrees to provide to Customer Internet Manager,
Inc.'s World Wide Web Hosting services as set forth in Exhibit A
("World Wide Web Hosting Services").
2. Payments and Invoicing
2.1. Credit Cards
Customer shall pay monthly in advance for our service, (unless the
customer signs up for a 12 (twelve) month prepay in which case the
12 months would be paid in advance) according to our current
published rates Exhibit A and as may be amended during the term of
this agreement. You agree that failure to pay such charges is grounds
for termination of all your services. Internet Manager, Inc. shall
indicate any changes in fees, which shall become effective upon thirty
(30) days' notice.
2.2. Checks
Customer shall make payments for 3 months at a time (unless the
customer signs up for a 12 (twelve) month prepay in which case the
12 months would be paid in advance) according to our current
published rates Exhibit A and as may be amended during the term of
this agreement. Check must be received by the 1st the month due.
You are responsible for making payments on time. Internet Manager,
Inc. is not obligated to send bills. You agree that failure to pay
such charges is grounds for termination of all your services.
Internet Manager, Inc. shall indicate any changes in fees, which
shall become effective upon thirty (30) days' notice.
3. Cancellation
Customer reserves the right to cancel account within thirty (30)
days of signing up, and Customer will receive a full refund of
fees paid to Internet Manager, Inc.. Customer agrees that no
refunds will be given after 30 days in the event that customer's
account is terminated by Internet Manager, Inc. or Customer for
any reason.
4. Responsibilities of Internet Manager, Inc.
4.1. Internet Manager, Inc. shall provide Customer with World
Wide Web Hosting Service as set forth in Exhibit A. Internet
Manager, Inc. shall perform its services to the best of Internet
Mananager, Inc.'s ability.
4.2. Internet Manager, Inc. reserves the right to refuse service to
anyone at any time. However, if Internet Manager, Inc. should initiate
termination of services with you, Internet Manager, Inc. will provide
reasonable notice to you in order to allow you to download your files.
5. Responsibilities of the Customer
Customer shall be solely responsible for all content available on or
through its site hosted by Internet Manager, Inc.s Web Hosting service,
and shall at all times be subject to the terms of this Agreement.
5.1. Customer agrees not to use Internet Manager, Inc.s Web Hosting
service in any manner that is illegal or libelous. Although Internet
Manager, Inc., does not actively police the sites, we do not knowingly
host adult or pornographic sites.
5.2. Customer warrants that its site hosted with Internet Manager
Inc.'s World Wide Web Hosting Services will not infringe or contain
any content that infringes on or violates any copyright, U.S. Patent
any third-party right, or violates any applicable law, rule or
regulation. Internet Manager, Inc. shall have no obligations with
respect to the content available on or through any site hosted on the
World Wide Web Hosting Services, including, but not limited to, any
duty to review or monitor any such content. Internet Manager, Inc.
Reserves the right to block any site that violates any of the above-
stated terms, or which in Internet Manager, Inc.'s sole discretion,
Internet Manager, Inc. deems objectionable or offensive, or otherwise
violates a law or Internet Manager, Inc.'s policy.
5.3. Third-party software available though Internet Manager, Inc. may
be governed by separate end user licenses. You agree to be bound by
the terms of such end user licenses regarding the applicable third-
party software.
5.4. Customer agrees to abstain from conduct such as send mass,
unsolicited emails (SPAMMING) sending chain letters, violating the
security of either Internet Manager, Inc. or other organization
systems and computers.
6. Warranties and Indemnification
6.1 All software made available from Internet Manager, Inc. is done
so on an "AS IS" basis.
6.2 Under no circumstances, including negligence shall Internet
Manager, Inc. or anyone involved in the administration of Internet
Manager, Inc.'s Web Hosting Server, be liable for any direct, indirect,
incidental, special or consequential damages that result for the use
or inability to use Internet Manager, Inc.'s World Wide Web Hosting
Service.
6.3 You agree to use all Internet Manager, Inc.'s services at your
own risk. In no event shall Internet Manager, Inc. be liable for any
loss of data, email, or files, virus infection delays or performance
problems due to power outages, acts of God, communications failures,
theft, or destruction or property.
7 Term and Termination
7.1. Term
This agreement is effective when you first use Internet Manager,
Inc.'s World Wide Web Hosting Service and continues until terminated
by either party.
7.2. Termination
Either party may terminate this agreement for any reason up ten (10)
day written notice (email included) to the other party however Internet
Manager, Inc. may terminate the Agreement immediately if any of the
terms of this contract are no met.
8. Government of this Agreement
You agree that this service is governed by the Laws of the State of
Florida. You agree that the City of Pompano Beach and the County of
Broward in which Internet Manager, Inc. is located shall be the
location for any legal action relating to our services.
Internet Manager, Inc. can change this agreement at any time upon
giving reasonable notice to you in either written or electronic format.
You may not amend or change this agreement unless Internet Manager,
Inc. agrees to it in writing.
